Terms and Conditions
Local Flyer Ads
Effective date: October 16, 2026
These Terms and Conditions ("Terms") are a binding agreement between you and Local Flyer Ads, a business operated by Tony Cantave in Cheshire, Connecticut ("Local Flyer Ads," "we," "us," or "our"). They cover our website, our screen advertising network, the Digital Postcard, the Business in a Box host kit, host accounts, and every other service we offer (together, the "Services").
By placing an order, creating an account, checking an "I agree" box, buying a host kit, or using the Services, you agree to these Terms. If you are agreeing for a business, you confirm you have authority to bind that business, and "you" means that business. If you do not agree, do not use the Services.
Part A applies to everyone. Part B also applies to advertisers. Part C also applies to hosts.
PART A. TERMS FOR EVERYONE
1. Who can use the Services
You must be at least 18 and able to enter a binding contract. The Services are for businesses and business purposes, not for personal, family or household use.
2. Accounts
You are responsible for your login details and for everything done under your account. Give us accurate information and keep it current. Tell us right away at tcantave@localflyerads.com if you think your account has been used without permission.
3. Payments
Prices are shown on our website or in your order. All payments are processed by Stripe, Inc., and you also agree to Stripe's terms. We never see or store your full card number. You authorize us to charge your payment method for all amounts you owe. Prices do not include taxes; you are responsible for any taxes that apply. If a payment fails, we may pause or end your Services until it is paid.
4. No guarantees
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT ALLOWED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON INFRINGEMENT.
We do not promise any particular number of views, customers, sales, calls, foot traffic, earnings or other business results. Screens depend on power, internet, equipment and the businesses where they are placed. Screens may go offline, break, be moved, or be removed without notice. Screen locations, play counts, schedules and earnings figures are estimates, not guarantees.
5. Limit of liability
TO THE FULLEST EXTENT ALLOWED BY LAW:
(a) Local Flyer Ads, its owner, contractors and agents will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost business, lost data or damage to reputation, however caused, even if we were told they were possible.
(b) Our total liability for all claims of any kind arising from or related to these Terms or the Services is limited to the amount you paid us in the 3 months before the event that gave rise to the claim. For a host, it is limited to the earnings we owe you for that same period.
These limits apply to every legal theory, including contract, warranty, negligence and strict liability, and they apply even if a remedy fails of its essential purpose. They do not limit liability that the law does not allow to be limited.
6. You protect us (indemnity)
You agree to defend, indemnify and hold harmless Local Flyer Ads and its owner, contractors and agents from all claims, lawsuits, losses, damages, fines, penalties, costs and expenses (including reasonable attorneys' fees) that arise from or relate to:
- your use of the Services;
- your content, products, services, offers or business;
- your premises (if you are a host);
- your breach of these Terms; or
- your violation of any law or anyone's rights.
We may take control of the defense of any claim, and you will cooperate with us. You may not settle a claim that involves us without our written consent.
7. Things outside our control
We are not responsible for delays or failures caused by events beyond our reasonable control. Examples include power or internet outages, equipment failure, theft, vandalism, weather, fire, natural disasters, government action, failures of third party services (such as Stripe, hosting providers or app stores), labor problems or pandemics.
8. Third party services
The Services rely on third parties, including Stripe for payments and payouts and other providers for hosting, email and storage. We are not responsible for their acts, failures or terms.
9. Suspension and ending service
We may suspend or end your access to any or all Services at any time, with or without notice, if we believe you broke these Terms, your use creates a legal or reputational risk, you did not pay, or we stop offering a Service. Sections that by their nature should survive (including payment obligations, Sections 4 through 7, Section 12, and any indemnity) survive after the Services end.
10. Our property
The website, software, screen app, dashboards, designs, and the Local Flyer Ads name and logo belong to us or our licensors. You may not copy, modify, reverse engineer, resell or interfere with them, or try to get around any security.
11. Privacy and communications
We collect the information you give us (such as your name, business, email, phone and order details) and information from screens (such as play logs, uptime and location). We use it to provide, bill for and improve the Services. You agree that we may contact you by email, phone or text about your account and the Services.
12. Disputes, governing law and arbitration
These Terms are governed by the laws of the State of Connecticut, without regard to its conflict of law rules.
Before filing any claim, you agree to contact us at tcantave@localflyerads.com and try in good faith to resolve it for 30 days.
Any dispute that is not resolved will be decided by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, held in New Haven County, Connecticut, or by video. Either party may instead bring an individual claim in small claims court if it qualifies. Either party may also go to court to protect its intellectual property or to stop unauthorized use of the Services.
YOU AND WE EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO BRING OR TAKE PART IN ANY CLASS, COLLECTIVE OR REPRESENTATIVE ACTION.
Any claim must be brought within one year after it arises, or it is permanently barred, to the extent the law allows.
13. Changes to these Terms
We may update these Terms by posting a new version on this page with a new effective date. If a change is material, we will try to notify you by email or in your account. If you keep using the Services after the change takes effect, you accept the new Terms.
14. General
These Terms, together with any order or checkout page you accepted, are the entire agreement between us about the Services. If any part is found unenforceable, it will be enforced as far as possible, and the rest stays in effect. Our failure to enforce a term is not a waiver. You may not transfer your rights under these Terms without our written consent; we may transfer ours. You and we are independent contractors. Nothing in these Terms creates a partnership, joint venture, employment or agency relationship.
PART B. ADVERTISER TERMS
15. What you are buying
The bundle includes two things:
- Screen Network: placement of your ad in the rotation that plays on screens in our network.
- Digital Postcard: a digital version of your ad that we share through online and social channels.
We decide the network, the rotation, the play frequency, the ad length and the screen locations, and we may change any of them at any time. Ads may run alongside other advertisers, including your competitors. We do not offer category exclusivity unless we agree to it in writing.
16. Billing and automatic renewal
The bundle is a monthly subscription that renews automatically at the price shown at checkout (currently $350 per month) until you cancel. A one time maintenance fee (currently $150) is charged to new clients. The maintenance fee is non refundable.
You may cancel at any time by emailing tcantave@localflyerads.com. Cancellation takes effect at the end of the current billing month, and we do not give partial month refunds. We may change prices with at least 30 days' notice; the new price applies from your next billing month.
Your ad may go live within minutes of approval. Timing is not guaranteed.
17. Your content and our approval
You are solely responsible for every ad, image, video, logo, text, offer, claim, link and other material you give us or ask us to create ("Your Content").
You promise that Your Content:
- is truthful, not misleading, and backed up by evidence for any claim it makes;
- complies with all laws and regulations, including FTC advertising rules and Connecticut consumer protection law;
- does not infringe any copyright, trademark, publicity, privacy or other right, and you own it or have every license needed for us to display it;
- contains no adult or sexual content, hate, harassment, violence, weapons, illegal drugs, tobacco or vaping, cannabis, gambling, or illegal products or services; and
- is suitable for display in public places of business, including places where children may be present.
We may review, approve, reject, edit for format or size, pause or remove Your Content at any time, for any reason, without liability, including at the request of a host. Approving or displaying your ad does not mean we checked it for legal compliance or that we endorse it. Political and issue ads are accepted only at our sole discretion.
18. License you give us
You grant us and our hosts a non exclusive, royalty free license to copy, format, resize, display, play, distribute and share Your Content on our screens, on social and online channels, and in our own marketing (for example, showing examples of ads we run) during your subscription and for a reasonable time afterward.
19. Ads we design
If we design an ad for you, you are responsible for reviewing and approving it, including all facts, prices, offers, spelling and contact details. Once you approve it, any errors are your responsibility. We may reuse the design templates, layouts and stock elements.
20. Refunds and chargebacks
Except where the law requires otherwise, payments are non refundable. If a screen is offline, it is not grounds for a refund or credit; we may offer a credit at our own discretion. Filing a chargeback without first contacting us is a breach of these Terms. We may end your Services and recover any amounts and fees owed.
PART C. HOST TERMS
21. What hosting means
A host is a business that places one or more of our screens (tablets) at its location. A host may buy a Business in a Box kit or may otherwise be approved by us. The host provides the location, power and internet. We provide the advertisers, the ad content, and remote control of the screens.
22. Business in a Box kit
The kit is a one time purchase (currently $499). It is non refundable once shipped or picked up, except where the law requires otherwise or the item arrives defective (report defects within 7 days). Risk of loss passes to you on delivery.
Equipment is provided with only the manufacturer's warranty, if any, and otherwise "as is." You are responsible for installing the screen safely and securely, in compliance with your lease, building rules and any codes, and in a place that does not create a hazard.
23. Your responsibilities
You agree to:
- keep each screen powered on, connected to working Wi Fi, visible, and displaying our app during business hours;
- not cover, unplug, tamper with, modify, factory reset, or install other software on a screen, or show other content on it, unless we approve;
- take reasonable care of the equipment and tell us promptly if a screen is lost, stolen, damaged or offline;
- allow us or our contractors reasonable access to service the screens; and
- keep your premises reasonably safe and carry the insurance a business like yours normally carries, including general liability.
Your premises, your equipment placement and any injury or damage at your location are your responsibility, not ours.
24. Ad content on your screen
We choose the ads that play. We try to avoid ads that are inappropriate for your business. If you object to a specific ad, tell us, and we will consider removing it from your screens. We are not responsible for advertiser content (see Part B, which makes advertisers responsible for their own ads), and you agree not to bring claims against us over it.
25. Earnings (revenue share)
Hosts earn a share of the advertising revenue their screens generate, calculated as follows:
- For each calendar month (Eastern Time), each advertiser's collected subscription payment for screen placement is divided among the screens that played that advertiser's ad, in proportion to how long it played on each screen.
- You earn your share percentage (currently 20%) of the amount assigned to your screens.
- Only subscription payments we actually collect count. One time fees, design fees, taxes, refunds, chargebacks, disputed payments, and payments for ads that did not play on your screens do not count.
Our records and calculations are final, except for obvious errors. Earnings shown in your dashboard are estimates until paid. We may change the share percentage or the method for future months with at least 30 days' notice.
26. Payouts
Payouts are sent through Stripe Connect. You must complete Stripe's onboarding and identity verification to be paid. We send payouts after the month ends, generally within 30 days, once you meet any minimum amount we set.
We may hold, offset or reverse a payout to cover refunds, chargebacks, fraud, amounts you owe us, or breaches of these Terms. If you never complete payout setup, unpaid earnings may be forfeited 12 months after they were earned, to the extent the law allows.
27. Taxes and independent status
You are an independent business, not our employee, partner or agent. You are responsible for all taxes on your earnings. Stripe or we may issue tax forms (such as Form 1099) and may need your tax information.
28. Ending hosting
Either of us may end hosting at any time with notice. We may stop sending ads to, or remove, any screen at any time. When hosting ends, you will be paid any earnings due for completed months, subject to Section 26. The kit equipment you bought stays yours, but our app, software, accounts and access end.
